Maintaining system performance

Updating customer communication flows

Supporting technical troubleshooting

We access only the information necessary to perform service management.

We do not sell or share your CRM data with third parties outside of our service providers.

Please read these Terms & Conditions carefully before using our services.

By accessing or using our services, you agree to be bound by these Terms.



1. Services Provided


We offer AI automation services for small businesses, including:

AI assistant setup and configuration

Ongoing management and optimization

Lead capture and communication services

CRM dashboard access and monitoring



2. Client Responsibilities


Clients agree to:

-Provide accurate and timely business information

-Cooperate with onboarding and setup processes

-Maintain valid payment information

-Comply with applicable laws and regulations

Failure to cooperate may delay or disrupt services.



3. Payment Terms


Setup fees and recurring service fees are due according to the selected plan at checkout. Payments are processed securely through Stripe and/or High Level Software. Monthly service subscriptions are billed automatically. Late payments may result in service suspension after 5 business days.



4. Trial Periods


If a trial period is offered, it begins at signup and lasts [30] days unless otherwise stated.


Trial cancellation must occur before the end of the trial to avoid being charged.



5. Cancellation Policy


Month-to-Month plans: 30 days written notice required.

3-Month, 6-Month, or 12-Month plans: Commitment is binding for the term selected.

Early cancellation does not waive remaining payments unless mutually agreed upon in writing.



6. Service Modifications


We may adjust services, features, or pricing with 30 days written notice.



7. AI Limitations


While we configure AI tools to act in a helpful, human-like manner, AI performance is based on the scripts, training, and context provided.


We do not guarantee outcomes, lead conversions, or customer behavior.



8. Data Handling


By using our services, you grant us limited administrative access to your CRM and subaccount data for service delivery, troubleshooting, and optimization purposes.


We protect this information per our Privacy Policy.



9. Intellectual Property


All custom AI scripts, workflows, and service materials created by us remain the intellectual property of [Your Business Name], unless otherwise agreed.

This Service Agreement (“Agreement”) outlines the terms between NW Agency (“we,” “our,” or “us”) and you (“Client” or “you”) for the use of our AI-powered virtual assistant services.

  1. Services Provided

NW Agency provides AI-driven call management solutions that answer calls, handle FAQs, and schedule appointments for businesses. Services are delivered as a subscription-based model or customized solution depending on Client needs.

  1. Client Responsibilities

By using our services, you agree to:

✔ Provide accurate and necessary business information for AI training

✔ Ensure compliance with applicable industry regulations

✔ Maintain any required third-party integrations (e.g., CRM, scheduling software)

✔ Use the service responsibly and in accordance with all laws

  1. Fees & Payment Terms

Pricing and payment schedules are outlined in separate agreements or invoices.

Late payments may result in service suspension until payment is received.

NW Agency reserves the right to modify pricing with prior notice.

  1. Service Limitations & No Guarantee of Results

While our AI-powered assistant is designed to enhance business operations, we do not guarantee specific performance outcomes such as increased sales or lead conversions. Success depends on various external factors.

  1. Confidentiality & Data Protection

We respect the confidentiality of Client information and will not disclose it without consent, except as required by law.

Data security measures are in place, but we are not liable for breaches beyond our control.

  1. Termination of Services

Either party may terminate this Agreement with [X] days’ written notice.

No refunds will be issued for services already rendered or for ongoing subscription periods unless otherwise specified.

  1. Limitation of Liability

NW Agency is not liable for indirect, incidental, or consequential damages resulting from the use or inability to use our services. The Client assumes all risks associated with service usage.

Monthly performance reporting (if applicable)




2. Trial Period (If Applicable)


Client is eligible for a

30-day trial

beginning on the Effective Date.


Setup typically takes 7–10 business days, with live service following immediately.


If Client wishes to cancel during the trial, they must submit written notice (email is acceptable) before Day 30 to avoid further billing.

If no cancellation notice is received, full subscription fees will begin automatically after the trial ends.



3. Payment Terms


Setup Fee: $1,297 (waived only for 12-Month Pay-in-Full clients)

Monthly Subscription Fee: Based on package and plan selected

Billing Frequency: Monthly or Annually, depending on commitment selected

Payment Method: Stripe or other approved electronic method


Client agrees to maintain valid billing information on file.


Late payments may result in service suspension after 5 business days.

6. Service Limitations


AI tools are powerful but may not replicate all human interactions perfectly.Results vary based on industry, market demand, lead volume, and client responsiveness.Service Provider does not guarantee specific revenue outcomes.




7. Access and Data Use


Client acknowledges and grants permission for Service Provider to access their CRM subaccount and related customer lead data solely for the purposes of setting up, maintaining, optimizing, and troubleshooting AI services.


Client data will not be sold, shared, or used outside the scope of service delivery.




8. Termination


This Agreement may be terminated by either party:


Upon breach of material terms with 7-day written notice and opportunity to cureAt the conclusion of the selected commitment term (unless renewed)




9. Limitation of Liability


Service Provider’s total liability for any claims related to services provided under this Agreement is limited to the fees paid by Client within the past 6 months.


Service Provider is not responsible for indirect, incidental, or consequential damages.




10. Governing Law
